Who we are looking for:
BDC is seeking a seasoned, detail-oriented and motivated Corporate Paralegal to join our team. The ideal candidate will provide essential support to the General Counsel by assisting with various legal and corporate tasks, including research, drafting documents, responding to emails and corporate record maintenance. Must possess comprehensive knowledge of U.S. laws, regulations, and business processes relevant to the role, with the ability to apply this expertise effectively in day-to-day operations and decision-making. The ideal candidate will play a crucial role in facilitating various administrative tasks and assisting with project management. This position requires strong organizational skills, attention to detail, and a proactive approach to problem-solving. It therefore requires a strong understanding of legal procedures and terminology and high attention to details. Essential Duties And Responsibilities
Handle confidential information with discretion and professionalism
Manage complex projects independently with limited supervision
Proofread agreements for content, accuracy and formatting
Assist in preparation of agreements, documentation
Review documents for accuracy and completeness before submission for appropriate signatures
Draft and review legal documents, including contracts, agreements, and correspondence.
Conduct legal research as needed
Drafting corporate minutes, resolutions and consents
Assist with PPMs, signature packs
Organize and maintain legal files and documents, ensuring all documentation is accurate and up to date.
Provide administrative support to the General Counsel, including calendar management and scheduling meetings.
Manage project management tasks, ensuring timely completion of legal projects
Organize and prioritize tasks to meet deadlines efficiently
Support all compliance activities
Monitors the marketing/sales process, including interfacing with various deal team and business development team members, to ensure that all necessary regulatory, security law, compliance and tax concerns are addressed

About You:
We are looking for an individual with Paralegal or Legal Assistant experience in a technology operating company or law firm who has experience dealing with venture capital and/or private equity and their expectations. This position offers an exciting opportunity to work with some of the industries pioneers and being a part of fast-growing portfolio companies.
Must possess comprehensive knowledge of U.S. laws, regulations, and business processes relevant to the role, with the ability to apply this expertise effectively in day-to-day operations and decision-making.
Experience drafting and filing incorporation documentation
Prior experience working with SEC filings and registrations
Address KYC requirements across funds and entities
Maintain and update global documentation
Manage and track corporate files for organization and portfolio companies
Proven experience as a Legal Assistant or in a similar role within a law firm or a corporate environment is preferred
Strong skills in legal drafting and document management systems.
Strong organizational skills with the ability to manage multiple tasks efficiently
Excellent writing skills with attention to detail
Ability to successfully work in and navigate a fast-paced work environment with multiple competing priorities that sometimes conflict
Must be able to work independently, using initiative and self-motivation, and collaboratively with members of a team
Technology savvy and proficient in Microsoft Office Suite, including Excel, Word, Outlook, and Teams
Experience with corporate transactions

Law degree or Bachelor’s degree required
Investment funds experience

Requirement
Must have 4 years’ experience working for a PE or VC firm, corporate law firm supporting corporate transactions, or the corporate law department of a technology firm.
